Terms of Service

These Terms of Service ("Terms") govern your use of DoodyDesk's products, including DoodyDesk Agent and DoodyDesk CRM (together, the "Services"), provided by DoodyDesk ("DoodyDesk," "we," "us"). By creating an account or using the Services, you agree to these Terms on behalf of yourself and the business you represent ("you," the "Subscriber").

1. The Services

DoodyDesk provides software that helps service businesses manage customer communications, including automated and manager-approved text messages and emails sent to the Subscriber's own customers, CRM functionality, scheduling assistance, and related tools. The Services are tools operated at your direction: you configure what is sent, to whom, and when.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate business information at signup and keep it current. You must be authorized to bind the business you register.

3. Customer Communications and Messaging Consent

Text messages sent through the Services are sent by DoodyDesk on your behalf, under DoodyDesk's own carrier registrations. DoodyDesk operates the SMS consent experience end to end: recipients opt in through DoodyDesk-hosted flows (including our public opt-in page and confirmation-by-reply text messages), DoodyDesk maintains the record of each recipient's consent, and DoodyDesk honors opt-out requests (such as STOP replies) automatically. The Services will not send account or service texts to a recipient for whom no consent record exists.

By using the Services you represent and warrant that:

customer contact information you provide to the Services belongs to genuine customers of your business with an existing business relationship — never purchased, rented, or harvested contact lists;
you will use messaging only for the account and service purposes recipients consented to (for example billing notices, scheduling updates, and service confirmations), and never for unsolicited marketing, deceptive, or prohibited content;
your use of the Services will otherwise comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act;
you will not attempt to circumvent, disable, or override the consent and opt-out controls the Services enforce.

DoodyDesk may suspend messaging features if we reasonably believe your use violates this Section, carrier requirements, or applicable law.

4. Indemnification

You will defend, indemnify, and hold harmless DoodyDesk and its owners, employees, and agents from and against any claims, damages, fines, penalties, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) messages sent through your account; (b) your breach of Section 3; (c) your violation of applicable law; or (d) disputes between you and your customers.

5. Your Data

You retain all rights to the customer data and content you provide to the Services. You grant DoodyDesk a limited license to process that data solely to operate and improve the Services. Our handling of personal information is described in the Privacy Policy.

6. Fees and Billing

Paid plans are billed in advance on a monthly or annual basis as selected at signup, and renew automatically until cancelled. Trials convert to paid subscriptions at the end of the trial period when a payment method is on file. Annual plans include a 14-day full-refund guarantee from initial purchase; fees are otherwise non-refundable except where required by law. Message volumes above your plan's included allotment may incur additional charges, which will be disclosed before they apply.

7. Acceptable Use

You may not use the Services to violate any law, infringe any rights, transmit malware, attempt to access other subscribers' data, resell the Services without our written consent, or interfere with the operation of the Services.

8. Third-Party Services

The Services interoperate with third-party providers (for example telephony, email delivery, calendars, and CRM systems you connect). Your use of those providers is governed by their own terms, and DoodyDesk is not responsible for their acts or omissions, outages, or message-delivery decisions made by carriers.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOODYDESK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DOODYDESK DOES NOT WARRANT THAT MESSAGES WILL BE DELIVERED, THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AUTOMATED CLASSIFICATIONS AND DRAFTS WILL BE ACCURATE. YOU ARE RESPONSIBLE FOR REVIEWING AUTOMATED ACTIONS YOU ENABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOODYDESK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. DOODYDESK'S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO DOODYDESK IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Termination

You may cancel at any time from your account or by contacting us; cancellation takes effect at the end of the current billing period. We may suspend or terminate the Services for material breach of these Terms, including Section 3, or where required to protect the Services, carriers, or message recipients. Sections 4, 9, 10, and 12 survive termination.

12. General

These Terms are governed by the laws of the State of Georgia, without regard to conflict of laws rules, and any disputes will be resolved in the state or federal courts located in Georgia. We may update these Terms by posting a revised version with a new "Last updated" date; continued use after changes take effect constitutes acceptance. If any provision is unenforceable, the remainder stays in effect. These Terms are the entire agreement between you and DoodyDesk regarding the Services.
